These Terms of Service ("Terms") form a binding agreement between you and Novyx ("Novyx," "we," "us"). By accessing novyx-labs.com (the "Site"), creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Shipping Policy, and Return Policy. If you do not agree, do not use the Site.
All products sold by Novyx are supplied strictly for in-vitro laboratory and scientific research use only. They are not for human or animal consumption and are not drugs, food, cosmetics, or medical devices. Nothing on this Site constitutes medical advice. By ordering, you represent and warrant that you are at least 21 years of age, are a qualified researcher or acting on behalf of a research institution, and will handle, store, and use all materials lawfully and in an appropriate controlled environment.
We work to describe products and Certificates of Analysis accurately, but we do not warrant that descriptions, pricing, or other content are error-free, complete, or current. Pricing and availability are subject to change without notice. We reserve the right to limit quantities, correct errors, and refuse or cancel any order — including after an order has been submitted — and to refund you in such cases.
Submitting an order is an offer to purchase; an order is accepted only when we dispatch it. Payment is processed through our third-party providers (card, Venmo/Cash App, and cryptocurrency). You agree to provide accurate, complete order and payment information. Orders paid via manual methods are reserved pending receipt of cleared payment and may be cancelled if payment is not received.
You agree that you will not: (a) use any product for human or animal consumption or for any diagnostic or therapeutic purpose; (b) resell products to consumers or misrepresent their intended use; (c) use the Site unlawfully, infringe others' rights, or attempt to disrupt, probe, or gain unauthorized access to the Site or its systems; or (d) submit false information. You are solely responsible for compliance with all laws applicable to your purchase, import, possession, and use of the materials.
Shipping timelines, costs, and risk of loss are described in our Shipping Policy. Because of the nature of research materials, all sales are final — see our Return Policy for the limited exceptions covering items damaged or incorrect on arrival.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
The Site and its content — text, graphics, logos, photography, and layout — are owned by or licensed to Novyx and protected by applicable laws. You may not copy, reproduce, or create derivative works without our prior written permission.
The Site and all products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except as required by law. We do not warrant that the Site will be uninterrupted or error-free.
To the fullest extent permitted by law, Novyx and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use or misuse of any product. Our total liability for any claim relating to an order will not exceed the amount you paid for that order.
You agree to indemnify and hold Novyx harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your handling, use, or misuse of any product.
We may update these Terms from time to time. Changes take effect when posted, and the "Last updated" date above will be revised. Your continued use of the Site after changes constitutes acceptance.
